Kolkata and Delhi-NCR, January 24, 2024: In a groundbreaking move, Titagarh Rail Systems Limited (TRSL) of Kolkata and Delhi-NCR’s Amber Group have inked a strategic alliance to venture into the railway components and subsystem business. This collaboration involves a joint venture company (JVC) or Special Purpose Vehicle (SPV) with substantial investments, marking a significant milestone in India’s railway industry.

Key Developments

Investment Commitment: TRSL and Amber Group’s subsidiary, Sidwal Refrigeration Industries Pvt Limited, will jointly invest up to INR 120 crores each to establish the JVC-SPV. This venture aims to manufacture critical railway components and subsystems for Railway and Metro coaches, strengthening India’s position in the global railway market.

Equity Injection in Firema, Italy: The strategic partnership extends to fresh equity investments in Titagarh Firema SpA, Italy. The Government of Italy’s investment arm, Invitalia, is also participating in the funding. Firema, a renowned designer and manufacturer of passenger trains in Italy, holds an impressive order book and a strong production capacity.

Capacity Expansion and Project Execution: TRSL, a leader in the railway rolling stock sector, is currently executing prestigious projects such as Vande Bharat trains, Surat metro, Ahmedabad metro, and Pune metro. The company is targeting a capacity of 800-850 coaches per year, showcasing a commitment to India’s railway infrastructure development.

Diversified B2B Expertise: Amber Group, with its diversified business verticals in Consumer Durables, Electronics (EMS), and Railway Subsystems & Mobility, brings a wealth of experience to the alliance. The collaboration aims to leverage Amber Group’s expertise for expanding capabilities and capacities in various product segments.

Market Entry and Preferred Supplier Status: The alliance facilitates Sidwal’s entry into the European market, gaining preferred supplier status and the Right of First Refusal (ROFR) for its products from Firema. This not only enhances market access but also ensures a robust demand pipeline.

Technology Acquisition and Market Access

Advanced discussions are underway for obtaining technology from global leaders, particularly in Europe. The focus is on acquiring technology for manufacturing critical components such as coach interiors, coach toilets, kitchens, seats, and other vital railway subsystems.

Comprehensive Integrated Solutions

The alliance aims to provide comprehensive integrated solutions to rolling stock manufacturers for railway subsystems, addressing at least 20% of the Bill of Materials (BOM) of a passenger coach. This underscores the commitment to enhancing the indigenous production of critical components.

Preferred Customer Status

Sidwal and TRSL will grant each other a Preferred Supplier and a Preferred Customer status, fostering a mutually beneficial relationship. The agreement includes a Letter of Intent for components manufactured by Sidwal for existing and future projects by Titagarh Rail.
